These Terms of Service ("Terms") constitute a legally binding agreement between you and Jackknife Inc., a Delaware corporation registered as a foreign corporation in Massachusetts ("Jackknife," "we," "us," or "our"). By accessing or using the Jackknife website (jackknife.co), mobile application, or any related services (collectively, the "Platform"), you agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use the Platform. We reserve the right to update these Terms at any time. Material changes will be communicated to you via the Platform or email. Your continued use of the Platform after such changes constitutes acceptance of the revised Terms.
You must be at least 18 years of age and a resident of the United States to use the Platform. By using the Platform, you represent and warrant that you meet these eligibility requirements and that all information you provide is accurate and complete.

Jackknife is a home management platform that helps homeowners build a verified record of their home. The Platform provides tools for:
The Platform is designed as an informational and organizational tool. Jackknife does not provide professional advice in the areas of home inspection, real estate, insurance, legal, financial, or construction services.
You retain full ownership of all data, documents, photos, and content you upload to the Platform ("Your Content"). Jackknife does not claim ownership of Your Content.
By uploading content to the Platform, you grant Jackknife a limited, non-exclusive, royalty-free license to use, store, process, and display Your Content solely for the purpose of providing and improving the Platform.
You are responsible for the accuracy and legality of Your Content. You represent and warrant that you have the right to upload all content you provide and that Your Content does not infringe on the rights of any third party.
You may request a copy of Your Content in a commonly used, machine-readable format at any time. Upon account deletion, we will make Your Content available for export for a period of 30 days before permanent deletion.
The Platform may connect you with independent service professionals ("Pros") through the Jackknife Pro network. You acknowledge and agree that:
Jackknife facilitates introductions between homeowners and Pros. We do not provide, perform, or supervise home services of any kind.
The Home Record Score is a proprietary metric generated by Jackknife based on information you provide and actions you take within the Platform. You acknowledge and agree that:

We reserve the right to investigate and take appropriate action against anyone who violates this section, including removal of content, suspension or termination of accounts, and reporting to law enforcement.
The Platform, including its design, features, functionality, content, trademarks, logos, and underlying technology, is the property of Jackknife Inc. and is protected by United States and international intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of the Platform, nor may you reverse engineer or attempt to extract the source code of the Platform, unless applicable law permits such activity regardless of this limitation.
"Jackknife," the Jackknife logo, and "Home Record Score" are trademarks of Jackknife Inc. You may not use these marks without our prior written consent.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Jackknife does not warrant that the Platform will be uninterrupted, error-free, or secure, or that any defects will be corrected. Jackknife does not warrant the accuracy or completeness of any information provided through the Platform, including information related to home systems, maintenance schedules, cost estimates, or contractor qualifications.
Jackknife is not a licensed home inspector, contractor, real estate agent, insurance broker, or financial advisor. Nothing on the Platform constitutes professional advice. You should consult qualified professionals for decisions relating to your home, insurance, finances, or legal matters.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JACKKNIFE INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.
IN NO EVENT SHALL JACKKNIFE'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO JACKKNIFE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless Jackknife Inc., its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
You may terminate your account at any time by contacting us at info@jackknife.co or through your account settings. Upon termination, your right to use the Platform will cease immediately.
We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, fraudulent or illegal activity, or extended periods of inactivity.
Upon termination, Sections 5.1 (Your Ownership), 9 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 14 (Governing Law), and 15 (Dispute Resolution) shall survive.
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions. Any legal action arising out of or relating to these Terms or the Platform shall be brought exclusively in the state or federal courts located in Essex County, Massachusetts, and you consent to the personal jurisdiction of such courts.
Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute with Jackknife informally by contacting us at info@jackknife.co. We will attempt to resolve the dispute through good-faith negotiation within 30 days.
If we are unable to resolve the dispute informally, either party may pursue binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in Essex County, Massachusetts, and the arbitrator's decision shall be final and binding.
CLASS ACTION WAIVER: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
